Leonard Milberg is the son of Company founder Benjamin Milberg. Mr. Milberg has been active in the Company since 1957. As the elder statesman of the firm, Mr. Milberg has a personal relationship with many of the firm's clients. In addition, on a day-to-day basis, Mr. Milberg continues to review customer credit lines and takes an active role in business development. Mr. Milberg is a graduate of Princeton University and the Wharton School of Business.

David Milberg oversees all areas of the firm, with a focus on managing Milberg's client loan portfolio and back office operations. Prior to joining Milberg in 1995, Mr. Milberg was previously a Vice President at Lehman Brothers, where he worked as an investment banker covering media and communications companies. Before obtaining his MBA, Mr. Milberg worked at Bankers Trust Company. Mr. Milberg graduated from Princeton University and received his MBA from the Graduate School of Business at Columbia University.

Mr. Murphy joined the Company in 1981 after eight years as a commercial banker with Manufacturers Hanover Trust Co. Mr. Murphy oversees all treasury functions for the Company and manages many client relationships. During his tenure at Milberg, Mr. Murphy has held a number of different positions, including Credit Manager. Mr. Murphy graduated from Fairfield University and received his MBA from Fordham University.

Mr. Zisfein is a senior lending officer at Milberg responsible for overseeing the management of many of Milberg's largest clients. Mr. Zisfein joined the Company in 1998 from Republic National Bank, where he was Senior Vice President and one of the three Team Heads overseeing middle market lending for the bank. Previously, Mr. Zisfein had worked for Bankers Trust Company, National Spinning and CIT Financial/Meinhard Commercial. Mr. Zisfein is a graduate of Boston University and received his MBA from Pace University.

Daniel Milberg joined the Company in 1989 and worked in the Company's Credit Department until 1998, when he was given primary responsibility for business development at the Company. In addition, Mr. Milberg manages a number of client accounts for the Company. Mr. Milberg is a graduate of the University of Richmond.

Mr. Machowsky is a senior lending officer at Milberg. Mr. Machowsky began his career at Milberg in 1977 working as a Collector in the Company's Collections Department. He was promoted to Credit Analyst after two years and was later named Credit Manager, a position which he held for nearly ten years. Mr. Machowsky is a graduate of Queens College.

Mr. O'Lear is a senior officer of Milberg focusing on business developmemt and managing many of the firm's client accounts. Mr. O'Lear joined the Company in 1991 from The Bank of New York Financial where he was a Senior Executive Vice President and Chairman of the Loan Committee, responsible for all of that firm's account executives. Previously, Mr. O'Lear worked for other factoring companies, including Irving Commercial and Walter Heller. Mr. O'Lear is a graduate of Adelphi College.

Mr. DeRita oversees all credit and collection activities at Milberg. Mr. DeRita began his factoring career in the early 1970's with William
Iselin and Company after graduating from St. Francis College. From Iselin
he joined Milberg Factors where he remained for six years before becoming the Corporate Credit
Manager for Congress Talcott. After spending two years with
CIT as a result of CIT's acquisition of Congress Talcott, Mr. DeRita rejoined Milberg in March of
2001 to become its Credit Manager.
